AWS Ventures – Website Terms and Conditions

1. Acceptance of These Terms

By accessing or using awsventures.com (the “Site”), any related sub‑domains, and any services provided by AWS Ventures (“we,” “us,” “our”), you (“you,” “your,” “User”) agree to be bound by these Website Terms and Conditions (the “Terms”). If you do not agree to all of the Terms, you must not access or use the Site.

2. Changes to the Terms

We may revise these Terms at any time by posting an updated version on the Site and revising the “Last Updated” date above. Changes are effective immediately upon posting. Your continued use of the Site constitutes acceptance of the revised Terms.

3. Description of Services

AWS Ventures provides AI, automation, and digital‑strategy consulting, including but not limited to AI strategy road‑mapping, intelligent agent design, technology integration, MVP/prototype development, and fractional leadership engagements (collectively, the “Services”). Any proposal, statement of work (“SOW”), or separate service agreement you accept will govern the Services you purchase and will prevail over these Terms in the event of a conflict.

4. Eligibility and Intended Audience

The Site is intended for business professionals who are at least 18 years old. By using the Site, you represent that you meet these criteria and that you have authority to bind the business entity on whose behalf you access the Site.

5. Engagements and Payment Terms

Hourly, Project, and Fractional Engagements. Engagement models include hourly consulting packages, on‑site assessments, fixed‑scope projects, and fractional leadership retainers. Specific deliverables, timelines, and fees will be set forth in an SOW.
Deposits and Invoices. Unless otherwise stated in an SOW, invoices are due net 15 days from the invoice date. Late payments accrue interest at 1.5 % per month or the maximum legal rate, whichever is lower.
Cancellation. You may cancel any engagement on 14 days’ written notice. Work completed prior to cancellation will be invoiced. We reserve the right to suspend or terminate Services for non‑payment.

6. Intellectual‑Property Rights

Site Content. The Site, including all text, graphics, logos, icons, images, audio clips, downloads, and software (collectively, “Content”), is owned by or licensed to us and is protected by U.S. and international intellectual‑property laws.
Client Deliverables. Unless otherwise stated in an SOW, and upon payment in full, you receive a non‑exclusive, worldwide, perpetual license to use, reproduce, and display the specific deliverables we create for you. We retain all underlying know‑how, methodologies, and pre‑existing IP.
Trademarks. “AWS Ventures” and associated marks are our trademarks. Amazon Web Services, AWS, and related marks are trademarks of Amazon.com, Inc. or its affiliates. AWS Ventures is an independent consultancy and is not affiliated with, endorsed by, or sponsored by Amazon Web Services.

7. Confidentiality

Each party agrees to keep confidential all non‑public information disclosed by the other party that is marked or otherwise reasonably understood to be confidential (“Confidential Information”) and to use such information only for the purposes of the engagement. This obligation survives for three (3) years after termination, except for trade secrets, which remain protected for so long as they constitute a trade secret.

8. Prohibited Uses of the Site

You agree not to:

Use the Site for unlawful, deceptive, or fraudulent purposes;
Introduce malicious code or attempt to gain unauthorized access to the Site or our systems;
Copy, scrape, or reproduce Site Content without our prior written consent; or
Misrepresent your identity or affiliation.

9. Disclaimers

No Professional‑Advice Warranty. Content on the Site is for informational purposes only and does not constitute legal, financial, or other professional advice.
No Guarantee of Results. We make no guarantees of specific business outcomes or ROI. Results vary based on many factors beyond our control.
AS‑IS Basis. The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non‑infringement.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will AWS Ventures, its officers, directors, employees, or agents be liable for (a) indirect, incidental, consequential, special, exemplary, or punitive damages; or (b) aggregate damages exceeding the greater of $10,000 USD or the fees you paid to us in the twelve (12) months preceding the claim, arising out of or relating to the Site, the Services, or these Terms, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless AWS Ventures and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your (a) use of the Site or Services; (b) violation of these Terms; or (c) infringement of any third‑party rights.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to us or other users. All provisions that, by their nature, should survive termination shall so survive, including ownership, disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict‑of‑law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and the parties consent to personal jurisdiction therein.

14. International Users

If you access the Site from outside the United States, you are responsible for compliance with local laws. We make no representation that the Site is appropriate or available for use in other jurisdictions.

15. Feedback

If you send us suggestions, ideas, or other feedback, you grant us an unrestricted, perpetual, irrevocable, royalty‑free license to use such feedback for any purpose without obligation or compensation to you.

16. Third‑Party Links and Content

The Site may contain links to third‑party websites or services. We do not endorse, control, or assume responsibility for any third‑party content. Accessing such links is at your own risk.

17. Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, labor disputes, supplier failures, or internet outages.

18. Miscellaneous

These Terms constitute the entire agreement between you and AWS Ventures regarding the Site and supersede all prior oral or written communications. If a court of competent jurisdiction finds any provision invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of such right or provision.
